1. Acceptance of Terms

By accessing or using the website of the North Carolina Perinatal Association (“NCPA,” “we,” “us,” or “our”) at [https://ncperinatalassociation.org/] (the “Site”), you agree to be bound by these Terms and Conditions (“Terms”). If you do not agree to these Terms, please do not use the Site.

We may update these Terms from time to time. Any changes will be posted on this page with an updated “Last updated” date. Your continued use of the Site after changes are posted constitutes your acceptance of the revised Terms.

2. About NCPA and the Site

NCPA is a nonprofit, statewide, multidisciplinary coalition of public health professionals, healthcare providers, and maternal/family health advocates focused on improving perinatal health in North Carolina.

The Site is provided for informational, educational, and membership-related purposes only. Nothing on this Site constitutes medical advice, legal advice, or individual practice guidance.

3. Not Medical or Professional Advice

Content on the Site, including articles, conference materials, educational resources, and links to external sites, is for general informational and educational purposes and is not intended to:

  • Provide medical diagnosis or treatment
  • Replace the professional judgment of a healthcare provider
  • Establish a provider–patient or other clinical relationship

You should not rely on information on the Site as a substitute for professional medical advice, diagnosis, or treatment. Always seek the advice of a qualified healthcare provider with questions about a medical condition or treatment.

4. Use of the Site

You agree to use the Site only for lawful purposes and in a manner consistent with these Terms. You agree not to:

  • Use the Site in any way that violates applicable local, state, or federal law
  • Attempt to gain unauthorized access to any part of the Site, other users’ information, or our systems
  • Interfere with or disrupt the operation of the Site or the servers or networks used to make the Site available
  • Upload, transmit, or otherwise distribute any material that is unlawful, defamatory, harassing, invasive of privacy, infringing, or otherwise objectionable

We reserve the right, in our sole discretion, to suspend or terminate your access to the Site for any violation of these Terms.

5. User Submissions

From time to time, the Site may allow you to submit forms, questions, testimonials, or other content (“User Submissions”).

By providing a User Submission, you:

  • Represent and warrant that the information is accurate to the best of your knowledge;
  • Represent that you have the right to provide the content and that it does not infringe the rights of any third party; and
  • Grant NCPA a non-exclusive, royalty-free license to use, reproduce, and display the submission in connection with NCPA’s nonprofit purposes (for example, to respond to inquiries or showcase member spotlights), subject to our Privacy Policy.

We may, but are not obligated to, review, edit, or remove User Submissions at our discretion.

6. Intellectual Property

Unless otherwise noted, all content on the Site, including text, graphics, logos, icons, images, and software, is owned by or licensed to NCPA and is protected by U.S. and international copyright, trademark, and other intellectual property laws.

You may view, download, or print content from the Site for your personal, noncommercial use or for internal educational purposes, provided that you:

  • Do not modify the content;
  • Retain all copyright and other proprietary notices; and
  • Do not use the content in a way that suggests NCPA endorses a product, service, or organization without our express written permission.

Any other use, including reproduction, distribution, modification, or creation of derivative works, requires prior written consent from NCPA.

7. Third-Party Links and Resources

The Site may contain links to third-party websites, resources, or services that are not owned or controlled by NCPA. These links are provided as a convenience and for informational purposes only.

NCPA does not endorse, guarantee, or assume responsibility for the content, privacy practices, or services of any third-party sites. Accessing third-party sites is at your own risk and subject to the terms and policies of those sites.

8. Events, Conferences, and External Registration Platforms

NCPA may promote events, conferences, webinars, or trainings through the Site and may use third-party registration or payment platforms (such as Eventbrite or similar services).

  • When you register for an event or provide payment information through a third-party platform, you are also subject to that platform’s terms and privacy policy.
  • NCPA is not responsible for errors or security issues arising from your use of those external platforms; however, we strive to work with reputable providers and to collect only information reasonably necessary for event administration.

9. No Warranty / Disclaimer of Warranties

The Site and its content are provided on an “as is” and “as available” basis, without warranties of any kind, either express or implied.

To the fullest extent permitted by law, NCPA disclaims all warranties, express or implied, including but not limited to:

  • Warranties of accuracy, completeness, or reliability of the Site content;
  • Warranties of merchantability, fitness for a particular purpose, or non-infringement; and
  • Any warranty that the Site will be uninterrupted, secure, error-free, or free of viruses or other harmful components.

You assume full responsibility and risk for your use of the Site.

10. Limitation of Liability

To the fullest extent permitted by law, NCPA and its directors, officers, employees, volunteers, and agents shall not be liable for any indirect, incidental, consequential, special, or punitive damages arising out of or relating to your use of or inability to use the Site, even if advised of the possibility of such damages.

Some jurisdictions do not allow certain limitations of liability, so some of the above limitations may not apply to you.

11. Indemnification

You agree to indemnify, defend, and hold harmless NCPA and its directors, officers, employees, volunteers, and agents from and against any and all claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to:

  • Your use of the Site;
  • Your violation of these Terms; or
  • Your infringement of any intellectual property or other rights of a third party.

12. Children’s Use of the Site

The Site is primarily intended for adult professionals and students aged 18 and older. NCPA does not knowingly collect personal information from children under the age of 13 through the Site. If we become aware that we have collected personal information from a child under 13, we will take reasonable steps to delete it. For more information, see our Privacy Policy.

13. Governing Law and Jurisdiction

These Terms and your use of the Site are governed by the laws of the State of North Carolina and applicable federal law, without regard to conflict of law principles.

Any disputes arising under or related to these Terms or the Site shall be brought exclusively in the state or federal courts located in North Carolina, and you consent to the jurisdiction and venue of such courts.
